# Terms of Service

Please read these Terms of Service ("Terms") carefully before using Produciesta (the "App") operated by Intrusive Memory Productions ("we," "us," or "our"). **By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.** ## 1. License to Use ### Grant of License Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for personal or commercial use on devices you own or control. ### Restrictions You may not: - Copy, modify, or distribute the App - Reverse engineer, decompile, or disassemble the App - Rent, lease, lend, or sublicense the App - Remove any proprietary notices from the App - Use the App in violation of any applicable laws ## 2. Subscriptions ### Free Tier (Producer Edition) The App offers a free tier with core features including: - Built-in Apple voices for audio generation - Unlimited screenplay imports - Audio library management - All document organization features ### Pro Subscription The Pro subscription unlocks additional features including: - **ElevenLabs API Integration** - Connect your own ElevenLabs API key for professional-quality voices - **Azure Cognitive Services Integration** - Connect your own Azure API key for Microsoft's premium voices - **Google Cloud TTS Integration** - Connect your own Google Cloud credentials for Google's voices - **Family Sharing** - Share with up to 5 family members - **Priority Support** - Get help when you need it - **Future Updates** - Access to new premium features as they're released **Important:** The Pro subscription unlocks the ability to connect third-party voice APIs. You must provide your own API keys and are responsible for any usage charges from the voice service providers (ElevenLabs, Azure, Google Cloud). These charges are separate from your Produciesta subscription. ### Pricing - **Monthly:** $4.99 per month - **Annual:** $39.99 per year (Save 33% vs monthly) Prices are in USD and may vary by region. Applicable taxes may apply. ### Billing and Auto-Renewal **Payment:** - All subscriptions are processed through Apple's App Store - Payment is charged to your Apple ID account at confirmation of purchase - Your Apple ID will be charged when you confirm the purchase **Automatic Renewal:** - **Subscriptions automatically renew** unless auto-renew is turned off at least **24 hours before the end of the current subscription period** - Your account will be charged for renewal within 24 hours prior to the end of the current period - The renewal charge will be the same price as your original subscription (unless pricing changes, in which case you will be notified in advance) **How to Cancel:** 1. Open the **Settings** app on your iOS device or Mac 2. Tap your name at the top to access your Apple ID 3. Tap **Subscriptions** 4. Select **Produciesta Pro** 5. Tap **Cancel Subscription** Alternatively, you can manage subscriptions at [https://apps.apple.com/account/subscriptions](https://apps.apple.com/account/subscriptions) **After Cancellation:** - You will retain Pro access until the end of your current billing period - The subscription will not renew for the next period - You can resubscribe at any time ### Free Trial New subscribers may be eligible for a **7-day free trial** of Pro features. **Trial Terms:** - Free trial is available to new subscribers only - Limited to one trial per Apple ID - Free trial automatically converts to a paid subscription at the end of the 7-day trial period - **You will be charged** the full subscription price when the trial ends unless you cancel at least 24 hours before the trial ends - You can cancel during the trial period without being charged **To avoid charges:** Cancel your subscription before the end of the trial period using the steps above. ### Early Adopter Pricing Users who subscribe during the early access period (before version 2.0) lock in **$39.99/year pricing forever** as an Early Adopter benefit. This pricing will not increase for Early Adopters, even if the standard pricing changes. ## 3. Refund Policy Subscriptions are processed by Apple. Refund requests must be made through Apple's refund process: 1. Go to [reportaproblem.apple.com](https://reportaproblem.apple.com) 2. Sign in with your Apple ID 3. Select the subscription purchase 4. Request a refund Apple's refund policies apply. We cannot process refunds directly. ## 4. User Content ### Your Content You retain all rights to: - Screenplays you import - Audio you generate - Any other content you create using the App ### Content Responsibility You are solely responsible for: - The content you import and create - Ensuring you have rights to use any content - Compliance with applicable copyright and intellectual property laws ### Content Restrictions You agree not to use the App to: - Create content that infringes on others' intellectual property - Generate audio that impersonates real individuals without consent - Produce illegal, harmful, or offensive content - Violate any applicable laws or regulations ## 5. Third-Party Services ### Voice Generation Services The App integrates with multiple AI voice generation services. When using these services: - Your screenplay dialogue text is processed by the voice service provider you choose - The provider's terms and conditions apply to that data processing - We are not responsible for third-party service availability, performance, or charges - Each service requires you to provide your own API credentials ### ElevenLabs (Pro BYOK) If you connect your own ElevenLabs API key: - You are responsible for your ElevenLabs account, API usage, and any charges from ElevenLabs - ElevenLabs' [Terms of Service](https://elevenlabs.io/terms) apply to your use of their service - We are not responsible for ElevenLabs service issues, outages, or changes to their service - You must comply with ElevenLabs' acceptable use policies ### Azure Cognitive Services (Pro BYOK) If you connect your own Azure API key: - You are responsible for your Microsoft Azure account, API usage, and any charges from Microsoft - Microsoft's [Terms of Use](https://azure.microsoft.com/en-us/support/legal/) apply to your use of their service - We are not responsible for Azure service issues, outages, or changes to their service - You must comply with Microsoft's acceptable use policies ### Google Cloud Text-to-Speech (Pro BYOK) If you connect your own Google Cloud credentials: - You are responsible for your Google Cloud account, API usage, and any charges from Google - Google's [Terms of Service](https://cloud.google.com/terms) apply to your use of their service - We are not responsible for Google Cloud service issues, outages, or changes to their service - You must comply with Google's acceptable use policies ### API Charges Disclaimer **IMPORTANT:** The Produciesta Pro subscription unlocks the ability to connect third-party voice APIs. API usage charges from ElevenLabs, Azure, and Google Cloud are billed separately by those providers and are NOT included in your Produciesta subscription price. You are solely responsible for monitoring and paying for your API usage with these providers. ## 6. Intellectual Property ### Our Property The App and its original content, features, and functionality are owned by Intrusive Memory Productions and are protected by international copyright, trademark, and other intellectual property laws. ### Trademarks "Produciesta" and our logo are trademarks of Intrusive Memory Productions. You may not use these marks without our written permission. ## 7. Disclaimer of Warranties THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: - MERCHANTABILITY - FITNESS FOR A PARTICULAR PURPOSE - NON-INFRINGEMENT - ACCURACY OR RELIABILITY OF RESULTS We do not warrant that: - The App will be uninterrupted or error-free - Defects will be corrected - The App is free of viruses or harmful components ## 8. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INTRUSIVE MEMORY PRODUCTIONS BE LIABLE FOR: - Indirect, incidental, special, consequential, or punitive damages - Loss of profits, data, use, or goodwill - Service interruption or computer damage OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you. ## 9. Indemnification You agree to indemnify and hold harmless Intrusive Memory Productions from any claims, damages, losses, or expenses arising from: - Your use of the App - Your violation of these Terms - Your violation of any third-party rights - Content you create using the App ## 10. Termination ### By You You may stop using the App at any time by: - Deleting the App from your devices - Cancelling any active subscriptions ### By Us We may terminate or suspend your access immediately, without notice, for: - Breach of these Terms - Conduct we deem harmful to other users or us - Legal requirements ### Effect of Termination Upon termination: - Your license to use the App ends - You must delete all copies of the App - Provisions that should survive termination will survive ## 11. Changes to Terms We may modify these Terms at any time. We will notify you of material changes by: - Posting updated Terms on this page - Updating the "Last updated" date - Notifying you in the App Continued use of the App after changes constitutes acceptance of the new Terms. ## 12. General Provisions ### Governing Law These Terms are governed by the laws of [State/Country], without regard to conflict of law principles. ### Dispute Resolution Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law. ### Severability If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. ### Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App. ### Waiver Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. ## 13.
